Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Unstapled Pantry website, mobile applications, services, and products (collectively, the “Services”). By accessing or using the Services, including placing an order, you agree to be bound by these Terms.

1. Eligibility & Account Registration

You must be at least 18 years old and legally capable of entering contracts to use the Services or create an account. When you register, you agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

2. Changes to Terms

We may update the Terms at any time. We’ll post the updated Terms with a new “Effective Date.” Continued use after changes constitutes acceptance of the updated Terms.

3. Ordering, Subscription, and Order Acceptance

3.1 Product Orders.

All orders placed through the Services are subject to acceptance and availability. We may refuse or cancel orders at our discretion, including due to pricing errors, product availability, or suspected fraud.

3.2 Subscriptions.

If our Services include subscription plans:

  • You authorize us to automatically populate your cart (or charge your payment method) per the frequency you selected.
  • You may modify, pause, or cancel your subscription from your account dashboard or as otherwise permitted in these Terms.
  • Unless canceled before the next billing cycle, subscriptions automatically renew.

3.3 Order Fulfillment & Delivery.

Delivery dates and shipping timelines are estimates. You agree that risk of loss for products passes to you when delivered to the shipping carrier or your designated delivery location.

4. Pricing, Billing & Payment

You agree to pay all charges at the prices in effect when the charges are incurred, including shipping, taxes, and applicable fees. By providing your payment information, you authorize us to charge your chosen payment method for all amounts due.

If a payment cannot be processed or is reversed (e.g., chargeback or cancellation), we may suspend your orders until resolved.

5. Food Product Risks, Safety & Allergens

5.1 Safety Disclaimer.

Products may require proper washing, handling, storage, cooking, refrigeration, and use. You assume all risk associated with proper food handling and consumption.

5.2 Allergen Warning.

We cannot guarantee that products are free from allergens or cross-contact. You are responsible for knowing and monitoring any food allergies.

5.3 No Medical Advice.

Product descriptions, nutritional info, and dietary guidance do not constitute medical advice.

This approach mirrors the explicit food safety and allergen disclaimers used by similar DTC grocery providers.

6. Returns, Refunds & Cancellations

Our refund and return policy is described separately at [link to your Refund Policy]. In general:

  • Consumable products may be eligible for refunds if reported damaged upon delivery.
  • Non-perishable items follow the return conditions listed in the Refund Policy.
  • Cancellations must follow the process in your account dashboard or as specified.

7. Intellectual Property

All content on the Services — including text, graphics, logos, images, and software — is owned by Unstapled Pantry or its licensors. You may not use any content for commercial purposes without our consent.

8. User Conduct

You agree not to:

  • Use the Services for unlawful purposes
  • Interfere with the Services’ operation
  • Reverse engineer the platform
  • Post harmful or offensive content

9. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which describes data collection and rights regarding your personal information, including marketing opt-outs.

10. Disclaimers & Warranties

THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not guarantee uninterrupted or error-free access.

11. Limitation of Liability

To the fullest extent permitted by law:

UNSTAPLED PANTRY’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE CLAIM.

We are not liable for indirect, punitive, incidental, special, or consequential damages.

12. Indemnification

You agree to defend, indemnify and hold harmless Unstapled Pantry and its affiliates from claims, damages, losses, liabilities, and expenses arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of law or third-party rights

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Georgia, USA.

Arbitration:

Disputes shall be resolved through binding arbitration in Georgia, except for small claims matters. You and Unstapled Pantry waive the right to a jury trial and class actions.

14. Force Majeure

We are not responsible for delays caused by events beyond our control, including natural disasters, pandemics, supply issues, or carrier delays.
